General Work Terms and Client Responsibilities & Liabilities

The client is responsible for providing all sites content, including text and multimedia, to Orestes Technologies Pvt Ltd before commencing work. Prior to engaging in any contractual work, the client is solely responsible for taking proper backups of all content on their website. Orestes Technologies Pvt Ltd is not liable for any loss or damage to existing data under any circumstances.

The contract with Orestes Technologies Pvt Ltd does not cover data entry, web hosting, or custom artwork/graphics work, unless explicitly specified, paid for, and agreed upon by both parties. Artwork, images, or text created by Orestes on behalf of the client remain the property of Orestes Technologies Pvt Ltd unless otherwise agreed.

While Orestes Technologies  strives to meet all delivery deadlines, there may be occasions when unforeseen circumstances, such as deployment issues, dependencies, 3rd-party support, development challenges, resource unavailability due to emergencies, or communication delays, necessitate an extension of time.

Orestes Technologies will provide the client with an opportunity to review the appearance and content of the website during and after design. The client has seven days to provide feedback. If the client does not respond within this period, the materials will be considered automatically accepted and approved.

The client retains the copyright to data, files, and graphic logos provided to Orestes Technologies and grants permission for their use. The client is responsible for obtaining permissions and rights for third-party copyrighted materials and agrees to indemnify and hold harmless Orestes technologies for any claims resulting from the client's failure to obtain proper copyright permissions.

Orestes Technologies is not responsible for any alterations made to the client's website by the client or third parties after deployment. Such alterations, including additions, modifications, or deletions, may incur a one-time web development charge.

Payments

Orestes Technologies accepts payments via bank transfers. The company reserves the right to change payment methods and adjust prices without prior notice. A cancellation fee may apply if the client cancels the service before completion, equal to the work completed at the point of cancellation. Non-payment of cancellation fees and overdue amounts may lead to legal action.

Re-Work, Enhancements/Add-Ons, and Billing

Additional features not included in the original scope of work will be considered through a Change Management process and billed separately. Scope changes after wireframe sign-off will incur additional costs, and the client will be informed before work begins. Any re-work or changes requested by the client post-approval will be treated as additional work and billed accordingly.

Limitations of Liability

Orestes Technologies will use reasonable skill and care when providing services but makes no warranties, express or implied, regarding service availability, quality, accuracy, timeliness, completeness, performance, or fitness for a particular purpose. Orestes Technologies, its employees, and agents are not liable for inaccuracies, omissions, delays, errors, or any loss or damage to the client's artwork, photos, or data. This includes losses resulting from negligence or other causes in the production of the website. Except in cases of death or personal injury due to negligence, Orestes Technologies  is not liable for any damages arising from this agreement or service operation, whether in contract, tort, or otherwise.

Orestes Technologies cannot guarantee third-party service performance and is not responsible for third-party service failures.

Approvals and Delivery

The project will proceed through various stages, with work on the next stage starting after receiving client approval and relevant payments for the previous stage. Upon completion of the service, the project will be uploaded to Orestes Technologies ' server for client approval. Once approved, the project will be uploaded to the destination server. Orestes Technologies may delay uploading until full payment is received. All code and materials developed will be transferred to the client after project completion and sign-offs. Orestes Technologies holds the right to reference the completed work for other potential clients unless otherwise specified.

Timescale

Orestes Technologies aims to complete all services within the agreed timescale, which begins upon receipt of the agreed deposit and all website content. Extensions to timescales may be necessary due to circumstances beyond our control.

Jurisdiction

These terms are governed by and interpreted in accordance with Indian law. The parties agree that Indian courts have exclusive jurisdiction over any disputes related to these terms and conditions.

Severability

In the event that any provision of this agreement or order is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect, and a mutually acceptable provision will replace the invalid, illegal, or unenforceable one, reflecting the parties' original intent.
